ANNE S. ROSENTHAL


Attorney Anne S. Rosenthal, of the firm Hurwit & Associates, provides comprehensive legal counsel to tax-exempt and other nonprofit organizations and charitable donors. Throughout her career, Anne has represented a wide range of clients within the nonprofit spectrum, including charities, foundations, nonprofit businesses, charitable trusts, schools and educational institutions, religious, health, community service, environmental, arts, and athletic organizations, social clubs, and business leagues.

Anne specializes in nonprofit organizational transitions such as the formation of new charities and foundations, nonprofit mergers, affiliations, asset transfers, dissolutions, and reinstatement of tax exempt status. She works frequently on behalf of her clients with state Attorney General offices and other state regulators on matters such as transfers of nonprofit funds, release of endowment restrictions, and regulatory compliance filings. She also provides on-going counsel for clients and works closely with governing boards on the roles and responsibilities of board members and "best practices," restructures, internal board disputes, and federal compliance matters such as IRS revocation of tax exemption, conflicts of interest, executive compensation, and excess benefits.

A graduate of Sweet Briar College, B.A., magna cum laude, where she was elected to Phi Beta Kappa, and the Northeastern University School of Law, Anne began her law career in the trial department of the Boston firm Burns & Levinson, handling complex product liability and personal injury litigation. She later joined the General Counsel's office of RECOLL Management Corporation (a subsidiary of Fleet Financial Group), where she was responsible for litigation of loan and real estate workouts and restructures on behalf of the FDIC, before joining Hurwit & Associates in 2002.

Anne is admitted to the Massachusetts bar, the U.S. District Court for the District of Massachusetts and the U.S. Court of Appeals for the First Circuit. She has served on the Massachusetts Attorney General's Division of Public Charities Advisory Committee, sits on the boards of director of several charitable and educational organizations, and volunteers with local community charitable organizations.

The nonprofit sector is an exciting and dynamic practice area, and Anne enjoys working with the dedicated individuals involved with the various organizations she represents. In addition to providing targeted strategic and forward thinking counsel, Anne also educates her clients on best practices in governance and compliance. Her goal is to "make compliance with state and federal requirements easier to understand and maintain, so the individuals running the nonprofit can focus their energy on the important missions to which they are dedicated."
